Terms of service

These Terms of Service (the "Terms") set out the conditions on which you may use Praxis — software for running a legal practice (the website hqpraxis.com, the mobile apps and the web app; together, the "Service").

Registering for the Service, or beginning to use it, means you accept these Terms in full. If you do not agree to them, please do not use the Service.
1. Definitions
- "Service" — the Praxis software and its associated online resources.
- "User" — a solicitor, barrister, firm, chambers or other person with legal capacity using the Service.
- "Account" — the credentials and settings through which the User accesses the Service.
- "Content" — the data the User puts into the Service: client records, matters, documents, messages, and contacts the User imports from a device address book.
2. What these Terms cover
We grant you a non-exclusive, non-transferable licence to use the Service for its intended purpose, for the term of the contract and on the terms of the plan you have chosen. All intellectual property rights in the Service remain with us. This is a licence to use software, not a contract for the provision of legal services.
The Service is a software tool intended for use in professional practice. You are contracting in the course of a business, so the consumer rights provisions of the Consumer Rights Act 2015 do not apply. The terms on which paid plans are supplied are set out in the Subscription Terms.
3. Your account
To use the Service you create an account and provide accurate details. You are responsible for keeping your access credentials confidential and for everything done under your account.
You must tell us without delay if you become aware of any unauthorised access to your account.
4. Your Content and your data
Content you put into the Service belongs to you. We acquire no rights in it and process it solely to provide the Service and on your instructions.
You can export your Content using the tools in the Service. After the contract ends we retain your Content for 30 calendar days so that you can export it, after which it may be permanently deleted unless the law or an agreement between us requires otherwise.
When you put personal data about third parties into the Service (including by importing contacts from a device address book), you confirm that you have a lawful basis for processing it and that you act as controller of that data. Praxis processes it on your instructions in accordance with the Privacy Policy and the Subscription Terms.
5. Your obligations and things you must not do
You agree to use the Service in accordance with applicable law, and you must not:
- use the Service for any unlawful purpose, or upload unlawful content;
- infringe the rights of others, including intellectual property rights;
- attempt to decompile or modify the Service, or circumvent its technical restrictions;
- scrape data, access the Service by automated means outside the intended interface, or otherwise interfere with its operation;
- give access to third parties without our agreement.
6. Confidentiality and legal professional privilege
Responsibility for preserving legal professional privilege, and for meeting the confidentiality duties in the SRA Standards and Regulations or the BSB Handbook, rests with you as the practitioner. We undertake to keep your Content confidential, to apply encryption in transit and at rest and role-based access control, and not to disclose Content to third parties except where the law requires it.
We do not use your Content for our own purposes, for advertising, or to train artificial intelligence models. Any AI-assisted features operate only within your own account.
7. We do not provide legal services
The Service is a software tool. It does not provide legal services or legal advice, and it is not a regulated provider of legal services. All professional judgements — including checking limitation periods and procedural deadlines, and maintaining privilege — remain yours. We are not responsible for the outcome of your matters.
8. Availability and warranties
The Service is provided "as is". We make reasonable efforts to keep it running without interruption, but we do not warrant that it will be free from errors or interruptions, including for planned maintenance and for causes outside our control (acts of third parties, network and hardware failures, denial-of-service attacks).
9. Limitation of liability
We are not liable for loss of profit, indirect or consequential loss, or loss of data not caused by us. Our total liability is limited to the fees you paid for the one billing period preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
10. Personal data
Personal data is processed in accordance with the Privacy Policy. Where we rely on consent, that consent is recorded in a separate document.
11. Term, changes and termination
These Terms apply from the moment you accept them until you stop using the Service. We may change these Terms by publishing a new version on the site; continuing to use the Service means you accept the change. Where a change materially affects your rights we will give reasonable notice.
We may suspend or end access if you breach these Terms. You may stop using the Service at any time.
12. Governing law and our details
These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. We will try to resolve any dispute with you informally first — please contact us before starting proceedings.
